Anthropic IPO
How Strata scores the filing, how partners gain exposure, and what has to happen before the closing.
What is being offered
Anthropic, the developer of the Claude models and a Delaware public benefit corporation, has filed to list Class A common stock on the Nasdaq Global Select Market under the ticker ANT. Goldman Sachs and Morgan Stanley lead the offering; JPMorgan is reported to lead a US retail tranche of roughly 15–20% of the deal. The filing includes both primary shares and selling stockholders.
What the filings show
Growth without precedent at this scale, now slowing
Third-quarter revenue was $17.0 billion, up 47% on the second quarter and more than 1,100% on the year; nine-month revenue was $33.2 billion. The sequential rate halved from 144% in Q2, and about $600 million of the quarter was given up to price cuts and contractual discounts. Roughly 11,900 customers spend more than $100,000 a year, and no single customer exceeds 10% of revenue.
Profitability reached, then stepped back
The second quarter was Anthropic's first operating profit ($974 million). The third quarter returned to a $567 million operating loss because demand outran the computing capacity the company had contracted and it paid premium short-term prices to fill the gap, with a further $2 billion non-cash charge for employee donation matching. Adjusted operating income was $2.5 billion at a 15% margin, down from 19%. Liquidity was $146.6 billion at September 30.
The headline losses are mostly accounting
The nine-month net loss of $104 billion includes $94.3 billion of non-cash charges tied to the rising value of convertible notes. Those charges grow with the valuation and fall away when the notes convert at the IPO.
The scale of the commitment
The amended filing puts aggregate purchase and lease commitments at $895.4 billion, substantially all for computing and infrastructure, including contracts signed after quarter end. That is roughly 13 times annualized revenue, with the payment schedule not yet disclosed. This is the risk at the center of the investment case.
A different kind of public company
An independent Long-Term Benefit Trust elects a majority of the board, the seven co-founders hold a majority of voting power through a separate share class, and 5% of shares have been pledged to a public benefit fund with a valuation-linked ratchet. Public shareholders buy the economics, not control. The audit and compensation committees are fully independent.
How Strata scores it
Strata applies the same multi-criteria decision framework to every public-market and IPO candidate: four weighted criteria scored from the filings, combined into a closeness coefficient from 0 (worst case) to 1 (ideal). The house rule is that a score below 0.40 is not allocated to.
The score has moved from 0.50 on filing day to 0.52 after the first-half margin disclosures and back to 0.49 on the third-quarter amendment. The full assessment, with methodology and computations, is published on the Strata site.
How Strata investors gain exposure
Exposure to the Anthropic IPO comes through the fund. Strata's public-markets sleeve participates in IPO allocations when we receive them, and as a limited partner you hold that exposure as part of the whole portfolio, alongside the fund's existing public equity positions and its side-pocketed private venture investments, in one vehicle with a single Schedule K-1.
We have participated in IPOs through our funds before and are preparing to do so here. There is no guarantee that Strata will receive an allocation in the Anthropic offering, or any particular size of allocation. The underwriters decide, demand for this deal will be extraordinary, and that is how the IPO process works. If we do not receive one, your capital remains invested in the fund's strategy as usual.
IPO track record
Strata has successfully navigated four portfolio companies through IPO, demonstrating consistent access to institutional syndicate allocations and full-cycle execution from private investment through public listing.
Syndicate IPO allocations
